These Terms of Service govern your access to and use of the GeoQR marketing site, applications, hosted tools, QR management features, custom domain features, GS1 Digital Link resolver features, analytics, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity, and "you" includes both you and that entity. If a separate order form, checkout confirmation, or other signed agreement applies, that document controls to the extent of any conflict.

1. Eligibility and Accounts

You must be legally capable of entering into a binding contract to use the Service. You are responsible for providing accurate account information, keeping login credentials secure, and promptly notifying us at info@geoqr.io if you suspect unauthorized access or a security incident affecting your account.

Account access may be tied to an organization or workspace. Organization owners and admins are responsible for managing members, permissions, and billing access inside their workspace.

2. The Service

GeoQR is a hosted software service for creating and managing dynamic QR codes, redirect destinations, region-based routing rules, branded domains, media, and scan analytics. We may modify, improve, replace, or discontinue parts of the Service from time to time.

Some features depend on third-party providers, including payment processors, email providers, DNS providers, hosting infrastructure, and certificate or domain services. Availability of those dependencies can affect the Service.

3. Acceptable Use

You may not use the Service to:

• violate any applicable law, regulation, or third-party right;
• create or distribute malware, phishing pages, deceptive redirects, or other harmful content;
• promote illegal goods or services, exploitative content, or material that is fraudulent, infringing, defamatory, or abusive;
• impersonate a brand, misrepresent a product or identifier, publish an identifier without authority, or evade a restriction or enforcement action;
• interfere with the integrity, security, or operation of the Service or circumvent usage limits, access controls, or technical restrictions;
• probe, scan, reverse engineer, or attempt to extract source code, underlying models, security mechanisms, or non-public data except to the extent that restriction is prohibited by law;
• use the Service for emergency, life-critical, or other high-risk use cases where delays, downtime, or routing errors could cause serious harm.

We may investigate suspected misuse, remove content, disable redirects, or suspend access where reasonably necessary to protect users, third parties, or the Service.

4. Your Content and Destinations

You are responsible for all content, URLs, redirect rules, media, domain configurations, branding, GS1 identifiers, product information, resource metadata, and other material you submit to or manage through the Service ("Customer Content"). You represent and warrant that you have the authority and all rights and permissions needed to use each identifier and item of Customer Content with the Service and to publish the linked resources.

You must keep Customer Content and destinations lawful, accurate, safe, and current. You must not use the Service to imply an association with a brand or product, infringe intellectual-property or other rights, or mislead people about a product's identity, origin, authenticity, safety, or regulatory status.

You remain the owner of Customer Content. You grant GeoQR a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, cache, format, display, publicly serve, and otherwise use Customer Content as necessary to operate the Service, including to resolve published QR codes and return public GS1 linksets and resolver responses, secure and improve the Service, and comply with law. This license lasts only for as long as necessary for those purposes and the applicable transition and retention periods.

You are solely responsible for the legality, accuracy, and safety of the destinations your QR codes point to. GeoQR may run automated or manual checks on configured destinations for security, abuse prevention, or operational reasons, but we do not guarantee that every unsafe or unwanted destination will be detected or blocked.

5. Domains, Links, and Third-Party Services

If you connect a custom domain, you are responsible for maintaining control of that domain, keeping DNS records accurate, and ensuring that your use of the domain does not infringe the rights of others. We may require domain verification before activating or continuing domain services.

You retain ownership and control of a customer-owned domain. You may move it to another resolver by changing DNS without GeoQR transfer approval or an artificial domain lock. Disconnecting a domain removes GeoQR's active mapping and certificate relationship after any applicable handoff period; it does not transfer or alter ownership of the domain.

The Service may route users to websites, assets, or services operated by third parties. GeoQR does not control and is not responsible for third-party content, policies, uptime, security, or performance.

6. GS1 Digital Link Resolver Features

A published GS1 Digital Link resolver address and its linkset, identifier, resource metadata, and destinations are public by design. Anyone who knows or discovers the address may request the resolver output without signing in. You are responsible for ensuring that information you publish is appropriate for public access and does not contain personal or confidential information unless you have a lawful basis and all required notices and permissions.

GeoQR validates supported GS1 syntax and check digits and verifies control of connected custom domains. GeoQR does not authenticate you as the GS1 licence owner, warrant that an identifier identifies the product you describe, or certify authenticity, safety, regulatory compliance, content accuracy, or an official partnership, approval, or certification by GS1.

For long-lived packaging, we recommend a customer-owned resolver domain. A GeoQR-hosted resolver URL uses a GeoQR-owned hostname and is not URL-portable to another provider. Although you can export its resolver configuration, moving away from that hosted address may require creating and printing a new QR code.

GeoQR provides a documented, versioned, machine-readable export of the portable resolver configuration, including the supported identifier, routing, typed resources, publication state, linkset, and reproducible QR design data. Provider security controls, secrets, internal fraud signals, and implementation data are excluded. Exports preserve configuration but do not transfer a GeoQR-owned hostname.

To the extent mandatory data-processing-service switching law applies, the applicable statutory switching rights supplement these Terms. These may include a switching-initiation notice period of no more than two months, a transition period of no more than 30 calendar days unless a longer technically necessary period is lawfully justified, continuity and security assistance during transition, at least 30 calendar days for data retrieval after transition, and erasure of exportable customer data after successful switching and the retrieval period. GeoQR will not use these Terms to limit any non-waivable switching, assistance, continuity, export, erasure, interface, or charging rule that applies to the Service.

7. Fees, Billing, Trials, and Taxes

Paid features are offered on a subscription basis unless we state otherwise in writing. By starting a paid plan, you authorize GeoQR and its payment processor to charge the applicable fees, taxes, and other amounts due using your selected payment method.

• Subscriptions renew automatically for successive billing periods until canceled.
• You can cancel renewal before the next billing date through the available billing tools or by contacting support when self-service cancellation is unavailable.
• Trials, discounts, and promotional pricing may be limited by plan, account history, geography, eligibility, or other stated conditions.
• Trial availability may be determined automatically at checkout, and repeat subscriptions may start as paid subscriptions immediately.
• An eligible Starter trial may begin without a payment method. If no payment method is added before the trial ends, the subscription ends without a charge and paid access stops.
• If you add a payment method during a trial, you authorize the selected paid subscription to begin automatically when the trial ends and to renew until canceled.
• Unless stated otherwise, fees are non-refundable except where required by applicable law or expressly stated by GeoQR in writing.
• If payment fails or a charge is reversed, we may suspend or limit paid features until the account is brought current.
• Unless stated otherwise at checkout, fees exclude taxes, duties, and similar governmental charges. Where required by law, applicable taxes will be included or presented during checkout.

We may change pricing, plan structures, or included limits from time to time. Material changes to recurring fees will apply no earlier than your next renewal cycle after reasonable advance notice.

8. Consumer Rights

If you are a consumer, you may have mandatory rights under applicable law that cannot be excluded by these Terms. Nothing in these Terms is intended to limit those rights.

Where applicable law gives you a right to withdraw from a distance contract, that right generally lasts 14 days unless an exception applies. To exercise an applicable withdrawal right, contact info@geoqr.io with a clear statement before the deadline expires.

If digital services start during the withdrawal period, your withdrawal right may be affected where you have expressly requested or consented to immediate performance and, where required by law, acknowledged that you may lose the right to withdraw. Where the law requires a partial refund or proportional charge for services already supplied, these Terms will be interpreted accordingly.

If you are a consumer, you may also have non-waivable statutory rights relating to defects, non-conformity, or non-performance of digital services under applicable law.

9. Availability, Analytics, and Changes

We aim to provide a reliable Service, but we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Maintenance, network issues, provider outages, abusive traffic, domain propagation, certificate issuance, or events outside our reasonable control may affect performance.

GeoQR does not promise perpetual resolution, a GS1-specific uptime commitment, or 24/7 support. Existing published identities may stop resolving after cancellation, deletion, lawful enforcement, an urgent security action, provider failure, or discontinuation as described below.

Analytics, routing, and safety indicators are operational tools, not guaranteed audit records. Country-level analytics and similar data may be inferred from network signals and can be incomplete, delayed, or inaccurate.

10. Suspension, Notice, Appeals, and Termination

You may stop using the Service at any time. We may suspend, restrict, or terminate access immediately if we reasonably believe:

• you breached these Terms;
• your use creates security, legal, or operational risk;
• payment is overdue or reversed; or
• continued access could harm GeoQR, other users, or third parties.

We use the narrowest effective intervention that is reasonably available, such as restricting a resource target before suspending an identifier, domain mapping, workspace, or account. Credible malware, phishing, illegal content, impersonation, serious infringement, threats to users or infrastructure, or a valid legal order may require immediate action. Lower-risk disputes will normally receive notice and a reasonable opportunity to correct the issue where lawful and safe.

When permitted, we will identify what was restricted, the policy or legal basis, whether correction is possible, and how to appeal. You may submit a free electronic appeal to info@geoqr.io. The appeal will be reviewed by a person able to reconsider the decision. We will restore service promptly when a restriction was mistaken or the violation is cured and restoration is safe and lawful. We may withhold information where disclosure is prohibited or would materially increase security or abuse risk.

After ordinary cancellation takes effect, we provide a 30-day read-only export and customer-domain handoff window. Existing resolver configuration remains available for transition during that window unless continued operation creates legal, security, abuse, or operational risk. Afterward, GeoQR may disable resolution and delete or anonymize Customer Content according to the Privacy Policy, the Data Processing Addendum, and applicable law. Mandatory rights and longer periods required by law continue to apply.

For a planned discontinuation of the GS1 resolver or GeoQR-hosted GS1 URLs, we aim to provide at least 90 days' advance notice where reasonably practicable, continued export access during the transition, and migration instructions. That target does not override legal orders, urgent security measures, provider failure, insolvency, force majeure, or other circumstances where advance notice or continued operation is not reasonably possible.

Termination does not relieve you of payment obligations that accrued before termination.

11. Intellectual Property

The Service, including its software, interface design, trademarks, documentation, and all related intellectual property rights, is owned by GeoQR or its licensors. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

If you provide suggestions, ideas, or feedback, GeoQR may use them without restriction or compensation to you.

12. Privacy and Data Processing

Our handling of personal information is described in our Privacy Policy. Where GeoQR processes personal data on your behalf, our Data Processing Addendum applies and forms part of these Terms. By using the Service, you acknowledge that GeoQR may process personal information as described in those documents and as necessary to provide, secure, and support the Service.

13. Warranties Disclaimer

To the maximum extent permitted by law, the Service is provided "as is" and "as available." GeoQR disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

GeoQR does not warrant that QR destinations will always resolve correctly, that every malicious link will be detected, that analytics will be complete, or that third-party integrations, DNS changes, or custom domains will remain continuously available.

GeoQR does not warrant licence ownership, product identity, authenticity, safety, regulatory compliance, or the accuracy of a GS1 identifier, linkset, destination, or other Customer Content.

14. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory consumer rights.

To the maximum extent permitted by law, GeoQR will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, even if we were advised of the possibility of such damages.

To the maximum extent permitted by law, GeoQR's aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amounts you paid to GeoQR for the Service in the 12 months before the event giving rise to the claim; or (b) EUR 100.

15. Business User Indemnity

If you use the Service on behalf of a business or other non-consumer entity, you will defend, indemnify, and hold harmless GeoQR and its affiliates, officers, directors, employees, and contractors from and against claims, liabilities, damages, losses, and reasonable costs (including legal fees) arising from your Customer Content, your use of the Service, or your breach of these Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of Denmark, excluding its conflict-of-law rules. If you are acting in the course of business, the courts of Denmark will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

If you are a consumer, you may have the right to bring claims in your country of residence and to rely on mandatory consumer protections that apply there.

17. Complaints and Abuse Reports

If you have a complaint about the Service, contact info@geoqr.io first and we will try to resolve it directly.

info@geoqr.io is also GeoQR's electronic point of contact for Service recipients and public authorities. Communications may be submitted in Danish or English.

To report suspected illegal, infringing, deceptive, or harmful resolver content, email info@geoqr.io. Include the exact resolver URL, the alleged violation or affected right, a sufficiently detailed explanation, supporting evidence where available, your contact information and authority where relevant, and a good-faith declaration. When contact details are supplied, we will acknowledge receipt and notify you of our decision and available redress where applicable. A report is evidence for assessment, not automatic proof. Knowingly fraudulent or abusive reports may violate these Terms.

If you are a consumer and we cannot resolve the complaint, you may have the right to use the consumer complaint or dispute-resolution body that applies in your country. Consumers in Denmark may in some cases use the public consumer complaints system operated through the Danish Mediation Team for Consumer Complaints and the Consumer Complaints Board.

18. Notices

You agree that we may provide notices and other communications electronically, including by email, in-product message, or by posting them through the Service or on our website. You are responsible for keeping your contact details current.

19. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Our failure to enforce any provision is not a waiver of that provision or any other provision.

You may not assign or transfer these Terms without our prior written consent, except where such restriction is not permitted by law. We may assign these Terms in connection with a corporate reorganization, financing, merger, acquisition, or sale of assets relating to the Service.

Sections that by their nature should survive termination, including provisions on payment obligations, intellectual property, disclaimers, limitations of liability, indemnity, disputes, and this Miscellaneous section, will survive termination.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version here and update the "Last updated" date above. If a change materially affects your rights or obligations, we may also give additional notice. Continued use of the Service after revised Terms take effect means you accept the updated Terms.
